We are looking for a talented and highly motivated governance and securities lawyer to support our growing and evolving business.

The successful Legal Counsel, Corporate & Securities candidate will play an important role on a high performing legal team. They will be responsible for advising management on corporate governance and securities matters and prepare SEC filings. They will review and provide advice on treasury, tax, finance, and executive compensation and benefits matters. They will be responsible for managing business risks and will serve as a business partner providing advice on a broad range of legal and strategic matters. The candidate possesses strong leadership and managerial skills, business acumen, sound decision making, and organizational skills. The candidate pays close attention to detail but is also a strategic thinker.

As a Legal Counsel, Corporate & Securities, you will be responsible for:

  • Managing corporate compliance with SEC, NASDAQ and other legal requirements, including Section 16 matters, NASDAQ Listed Company Manual compliance requirements, Reg FD, and the Company's insider trading program;
  • Preparing, reviewing and advising on public disclosures, including Forms 10-K, 10-Q, 8-K, and the Proxy Statement;
  • Advising on disclosure matters, including press releases, earnings materials, investor presentations, and other external communications;
  • Assisting with the preparation and planning for the annual shareholder meeting and shareholder engagements;
  • Researching and advising on emerging public company corporate governance and disclosure trends and issues, including ESG matters;
  • Assisting with preparation of Board and committee materials;
  • Providing legal support and counsel to finance and treasury functions that may include banking and credit agreements, capital markets transactions, bond indentures, inter-company cash management and other finance matters; negotiate, draft, review and advise on related documentation;
  • Assisting with subsidiary entity management;
  • Assisting the Total Rewards team on Executive Compensation and Benefits matters;
  • Providing legal advice related to executive compensation disclosures in SEC filings and SEC-filed ownership reports;
  • Assisting in managing equity incentive plans and operations;
  • Overseeing compliance with ownership and retention guidelines;
  • Managing outside counsel engagements;

Fuel your passion

To be successful in your role, you will have:

  • Law Degree from an accredited university or college
  • Minimum of 5 years of experience SEC reporting and securities laws at a nationally recognized law firm and/or public corporation
  • Good understanding of public company disclosure and reporting requirements as well as experience in a broad range of securities and financial transactions
