The Corporate Counsel is responsible for providing legal guidance on a variety of corporate matters, including contracts, compliance, and corporate governance. The counsel ensures the business aligns with applicable laws and regulations while supporting its growth objectives. The ideal candidate will be proactive, detail-oriented, and understand corporate law well.

Responsibilities of Position:



  • Review, draft, and negotiate commercial sales and procurement contracts, non-compete agreements, municipal bids, and other legal documents.
  • Assist the sales department with collections and customer disputes.
  • Facilitate filings for business disclosures and annual reporting requirements to state authorities.
  • Conduct legal research on legislation and case laws relevant to the business.
  • Draft and review real estate agreements, prepare title work, and assist with real estate closings.
  • Provide legal support and due diligence related to company acquisitions.
  • Assist with corporate governance, ethics, compliance, entity formation, and maintenance.
  • Work with other members of the legal team on special projects under the supervision of the GC.
  • Other duties, as assigned.



Skills & Abilities Needed for Position:



  • Strong analytical and research skills with the ability to interpret and apply legal principles.
  • The capability to build relationships across all levels of the organization.
  • Work independently and manage multiple priorities in a fast-paced environment.
  • Excellent communication skills, with the ability to communicate complex legal concepts to non-legal personnel clearly and effectively.



Experience & Knowledge Needed for Position:



  • Juris Doctor (JD) degree from an accredited law school required.
  • 2+ years of experience in corporate law, either at a law firm or in-house required.
  • Strong knowledge of corporate governance and compliance frameworks.
  • Preferably licensed in Ohio, Kentucky, or Indiana.



Physical Requirements in a Regular Workday:



  • Continuously sitting/standing/walking in an office environment.



Additional Working Conditions/Aspects:



  • Ability to travel between offices, as required.
  • Legally eligible to work in the United States.
  • Valid driver's license (if applicable).
  • Must successfully complete pre-employment testing.
  • Must be able to read and speak the English language.
