The Senior Paralegal is an integral member of the Sirva General Counsel's team. This person will work together with Sirva's in-house attorneys to support the needs of our domestic and international moving business segments. In addition, this person will provide ongoing support and oversight with Sirva's corporate and regulatory legal issues. This role will have supervisor responsibilities of a Legal Coordinator and Contract Manager.

This position is open to be filled in either our Fort Wayne, Indiana office or Independence, Ohio office. The work schedule will be hybrid.

Responsibilities

50% Responsibility for Corporate Records



  • Maintains corporate minute books for Sirva subsidiaries.
  • Prepares consents pertaining to annual meetings, name changes, and director/officer changes for Sirva subsidiaries.
  • Aid with setting up new corporate entities, including name availability checks, drafting of articles of incorporation and bylaws, and obtaining corporate seals.
  • Maintain files regarding corporate organization activities.
  • Provide support related to change in corporate name and updates with regulatory authorities.
  • Maintain records and update to foreign franchise and authorized representative agreements.


30% Regulatory and Corporate Compliance



  • Responsible for ongoing management and renewal for Sirva regulatory authorities.
  • Partners with Sirva's internal risk management team regarding insurance filings and bond filings for Sirva subsidiaries.
  • Fields complaints and issues through internal compliance resources and external compliance hot line.
  • Maintains records of compliance investigations.


20% Supervisor Responsibilities



  • Manage team members' performance through mentoring, performance reviews, meetings and the TMS process.
  • Directly responsible for the hiring of all team members.
  • Supervise and mentor all team members to achieve all team metrics and responsibilities.
  • Manages and ensures the quality of the work product and responsible for workload balancing.


10% Intellectual Property



  • Works with counsel to manage Sirva trademarks worldwide, including applications for registration and renewal.
  • Prepares cease and desist letters to potential trademark infringers and maintain records of infringement enforcement.
  • Provides support to counsel in filing trademark infringement litigation.


10% Other Tasks:



  • Special Projects as needed
  • Assist in-house counsel as needed with mergers, acquisitions, and refinancing
  • Support class action recovery efforts


Bankruptcy Matters



  • Monitors and reviews all customer bankruptcy notices filed by suppliers and/or clients.
  • Works with Sirva business units to file proofs of claim.
  • Works with finance team to send collection letters to debtor and/or debtor's employee.
  • Investigates preferential claims and responds to bankruptcy trustees.


Tax Reports



  • Oversees filing of state corporate tax reports.


Assistant Secretary



  • Acts as Assistant Secretary for certain Sirva subsidiaries
  • Reviews and signs human resources, payroll and business documents which require signature of officer of respective subsidiaries.



Qualifications



  • Minimum 3 years experience as general paralegal required
  • Strong project management and tracking skills required
  • Analytical writing and research skills; excellent communication skills
  • Comfortable working with executive and management level personnel
  • Ability to work under tight deadlines and pressure
  • Ability to maintain confidentiality when working with sensitive information
  • Prior legal experience working on corporate governance issues and/or with government regulatory entities preferred
  • Understanding of and ability to work with numerous functions within company
  • Bachelor's Degree or extensive experience as general paralegal required
  • Notary Public
