Overview (Scope of Role)

The Corporate Paralegal role has primary responsibility to provide paralegal support for the Company's corporate governance; entity management; securities compliance; financing transactions; and other transactional matters.

This is a remote eligible position with a preference for candidates being close to the Wayne, PA area. Remote applicants must reside in the eastern time zone (EST).



Responsibilities

    Prepare corporate resolutions and unanimous consents, powers of attorney, director certificates, and other governance documents, for distribution and signature.
  • Maintain subsidiary records, minute books and share registers.
  • Oversee board of director appointments and removals.
  • Maintain records of authorized signatories and company organizational structure chart, and support internal teams with entity information, signing authority, board approvals, beneficial ownership information, know-your-customer information, or other requests
  • Maintain ownership records for officers and directors; prepare and file Section 16 filings, including preparation and filings of forms with EDGAR and EDGAR codes for the Company's officers and directors
  • Work closely with controllers' teams on approval of subsidiary annual accounts and financial statements, annual meeting compliance and reporting obligations.
  • Legal support for the Company's equity plan administration
  • Support due diligence and closing processes for financings and other critical transactions.
  • Assist on other commercial, compliance, and financing activities as assigned.
  • Perform research assignments as assigned.
  • Work independently across a diverse international organization.


Qualifications

  • A paralegal certificate and/or college degree
  • 3-5+ years of experience with corporate governance and global entity management, including experience with corporate service providers
  • Experience with Form 4 preparation and public company reporting is a plus
  • Experience with Section 16 reporting software, EDGAR, CSC's Entity Management System is a plus
  • Comfortable with all Microsoft Office applications and Adobe PDF
  • Additional language skills is a plus
