Job Description:

The Corporate Counsel for Compliance, Risk Management & Enterprise Contract Management is responsible for supporting the Compliance, Risk, Governance & Privacy ("CRGP") group and managing contract review and negotiation for the organizations' customers and vendors. It is anticipated that the Attorney in this role will be capable of prioritizing and will self-manage (with support) time between support of the CRGP and Legal groups as needs fluctuate. While the support of each group is frequently intertwined, it is anticipated approximately 50% of this role will be allocated to each group.

Pay range is $155k-$175k/Yr depending on location and experience.

Essential Duties and Responsibilities

CRGP Group:

  • Operational risk assessment- working directly with operational and administrative SMEs to identify and assess operational, financial, contractual, regulatory, legal, and reputational risks
  • Creation and modification of policy and procedure documentation to align with operational effectiveness and efficiencies as well as the enterprise risk management framework, while working cooperatively with the Cyber Security Group to align the security framework to support certifications (ISO 27001, SOC2, Type 2)
  • Consultation related to risk management activities including remediation/ improvement plans and documented self-assessment to plan completion
  • Ongoing re-assessment for determination of continued compliance and measured improvement against previously identified risks
  • Facilitation of Enterprise Risk Management Committee meetings
  • Creation and maintenance of reports to leadership related to risk management assessment, progress of mitigation efforts, and necessary contractual, legal, and regulatory compliance obligations
  • Conducting research and legal guidance in the evaluation, and tracking of changes to contractual, legal, and regulatory obligations
  • Participate in the evaluation of and recommendations of employee training materials.

Legal Group:

  • Review of vendor and customer contracts in close collaboration with business SMEs and negotiation with external parties related to contracts
  • Legal research on a variety of legal matters and preparation of summary memorandum addressing business issues, legal and contractual requirements, and recommendations
  • Consultation and advice to internal operational and administrative employees regarding a wide range of business issues
  • Support employee related matters including, investigations, reduction in force documentation.

  • Excellent verbal and written communication skills are required to be able to articulate a complex matter in a simplified and succinct fashion, tailored to the target audience
  • Ability to self-manage multiple deadlines
  • Ability to interact with internal/external clients/customers in a professional manner
Minimum Experience
  • Active license to practice law, with either admission to the bar of the State of Minnesota or a limited in-house counsel license to practice law in the State of Minnesota
  • 4+ years of in-house, law firm and/or regulatory agency experience in the areas of ethics and compliance
  • Demonstrated ability of analyzing, interpreting, and applying the substance of complex laws and regulations with preference for relevant anti-bribery, antitrust, HIPAA, GDPR, U.S. State privacy laws, and other compliance regulations
  • Prior experience in the areas of technology contract management (review, drafting, negotiation) and corporate governance is strongly preferred.
Minimum Education
  • Juris Doctorate degree from an accredited Law School

Primary Work Location

  • This role is hybrid - there may be times it is necessary to travel to the office for in-person meetings / trainings
  • Management has the discretion to determine how many days are required to be in the office
