We have a position in Monmouth Junction, NJ for a Contracts Manager/Paralegal to join our small, but experienced, in-house Legal team.

The Contracts Manager/Paralegal supports the Legal department in the review, drafting and compilation of varied and complex business contracts across the organization. The incumbent reviews contracts to ensure compliance to company policy, government specifications and other legal and company requirements. She/he collaborates closely with cross functional teams and internal stakeholders including, but not limited to: Finance, Commercial, Human Resources (HR), Research and Development (R&D), Business Development, etc. to support accurate, timely and compliant negotiation and execution of contract agreements.

The incumbent also assists the Legal department with other operational and administrative projects, as needed, (i.e., state licensing, intellectual property (IP) management, Sunshine Act reporting, etc.), in support of business and legal operations.

ESSENTIAL FUNCTIONS

  • Drafts, reviews, analyzes and tracks a variety of contracts, agreements and legal documents including, but not limited to: nondisclosures (NDAs), master and stand-alone services, consulting agreements, etc., using both company templates and third-party paper; Exercises knowledge, discretion and judgment to apply effective, timely and compliant solutions to non-standard issues
  • Collaborates cross functionally with internal stakeholders to understand the full scope of internal service needs and advises on appropriate contracting development and approach; Keeps all stakeholders informed and involved in the contracting process and contract lifecycle management
  • Identifies and communicates risk areas and issues throughout contract lifecycle and escalates appropriate situations to attorneys and business stakeholders to resolve issues, as needed
  • Collaborates and supports Legal Department to ensure business contracting needs align/comply with legal, organizational and departmental policies and procedures ensuring adherence to company policies and applicable local, state and federal laws and regulations relating to development, manufacture, marketing and sale of pharmaceutical products
  • Assists with state licensing and compliance requirements, including preparing and filing necessary documentation
  • Manages company's IP portfolio, including trademark and copyright filings and renewals
  • Prepares and submits Sunshine Act reports in a timely and accurate manner
  • Manages legal team expense process, vendor invoices and billing relationships and assists with legal team budgeting
  • Assists with managing disputes, including insurance coverage, litigation holds, subpoenas and discovery, as needed

Requirements

REQUIRED QUALIFICATIONS

Accredited paralegal certification and/or Bachelors degree and minimum 3 years corporate paralegal and/or relevant contracts administration experience in a pharmaceutical, biotechnology, healthcare or related industry

  • Current working knowledge of standard contract terms and terminology with strong contract reviewing, drafting and negotiation skills
  • Hands on experience drafting and revising various contract types and agreements (i.e., NDAs, service agreements, supply, sales and clinical vendor agreements, etc.)
  • Experience handling multiple aspects of legal support (i.e., licensing, contracts, litigation, IP, etc.)
  • Ability to advise non-technical internal clients on contract processes, terms and conditions and practical impact of complex contract language and concepts
  • Ability to handle confidential information with discretion
